SDVOSB VetCert renewal: what changes when, and the most common gotchas

Since the 2023 SBA-VA transition, SDVOSB certification is unified under SBA's VetCert system. Renewal mechanics changed. Here are the gotchas that take SDVOSBs by surprise.

Since the 2023 transition of SDVOSB / VOSB certification from VA's CVE to SBA's VetCert (under 13 CFR Part 128), the certification lifecycle has changed. Many small SDVOSBs we work with don't realize their renewal mechanics are different now.

What VetCert is

VetCert is the unified SBA certification system for both:

  • Service-Disabled Veteran-Owned Small Business (SDVOSB)
  • Veteran-Owned Small Business (VOSB)

Before 2023, SDVOSBs and VOSBs working on VA contracts certified via CVE (a VA system). Outside-VA work used self-certification. Now: a single VetCert certification works for ALL federal agencies including VA.

The 3-year renewal cycle

Certifications are valid 3 years from issuance. SBA notifies you 6 months and 3 months before expiration. The window to submit renewal is the last 6 months before expiration.

Renewal is NOT automatic. You submit a renewal application. SBA reviews under the same criteria as the initial application.

The gotchas

1. Ownership recertification

SBA verifies the service-disabled veteran owner STILL controls 51%+ of the company AND still has unconditional management authority. If you've taken outside investment, added a non-veteran partner, or restructured your cap table, this can fail.

Action: review your cap table BEFORE the renewal window opens. If there's any ambiguity, get legal counsel to clean it up before submitting.

2. VA disability rating documentation

The disability rating needs to still be valid. If you've been re-rated DOWN (e.g., from 30% to 0%), you may no longer qualify. Service-disabled status requires "service-connected disability rated 0% or higher" — but at 0% you must have ongoing documentation.

Action: pull current VA rating documentation BEFORE submitting renewal.

3. Annual revenue + employee count

You must remain small under your primary NAICS size standard. If you've grown, you may have aged out.

Action: run the size-standard check before submitting.

4. SAM.gov registration must be current

VetCert pulls from SAM.gov. If your SAM.gov registration has lapsed (annual renewal), VetCert renewal will stall.

Action: confirm SAM.gov entity status is "Active" with at least 90 days until next renewal.

5. Address + officers must match across systems

VetCert checks consistency between SAM.gov, your VetCert record, and IRS records. If your address differs, the application stalls in administrative review.

Action: pre-renewal, sync addresses across SAM.gov, VetCert profile, business license, IRS, state SOS.

Timeline that works

  • T-9 months: Pull your cap table, VA rating, SAM.gov, and address documentation. Review.
  • T-7 months: Resolve any inconsistencies. File any needed updates with SAM.gov or state SOS.
  • T-6 months: Renewal window opens. Submit application.
  • T-3 months: Follow up if you haven't heard. Average processing time is 60-90 days.
  • T-0: Certification expires. If renewed in time, no gap.

What happens if you lapse

If your VetCert lapses, you can no longer represent yourself as SDVOSB on new bids until you're recertified. Existing contracts continue (you can still perform under the existing award), but new awards under SDVOSB set-asides require active certification on the award date.

A lapse can also be flagged by competitors via FAR 19.305 size protests on bids you submit during the lapse.
